1. 1. Samsung Securities elects directors who meet active requirements.
   • A. Samsung Securities makes sure that people with experience and knowledge appropriate for performing the duties of auditors in a financial company from various ields are included.
   • B. Samsung Securities defines diversity broadly, and selects and appoints candidates who have sufficient working experience and knowledge in related fields, e.g. finance, economy , management, accounting and law, and diverse
   • C. Samsung Securities operates the Board of Directors in a balanced way by taking gender, ethnicity , race and nationality into consideration when appointing directors
2. 2. The Director Nominating Committee is operated fairly according to the following standards so that directors can be elected in a transparent way.
   • A. Structure of the Committee The appropriateness of the number of committee members , whether directors constitute the majority, whether the chair is an director and the committee members’ authorities and sense of responsibility
   • B. Propriety of Agendas The consultation about the agendas between the members and the management, and the timeliness of provision of materials
   • C. Committees - Whether minutes are recorded and circulated, whether the committee regulations are complied with, and aptitude items in the work scope of the committee

Samsung Securities' Board of Directors operates a process to establish transparent corporate governance and ensure independence Board of Directors has the authority to appoint and dismiss a chief executive director to strengthen the check and balance against the management To prevent conflicts of interest, a majority of independent directors are appointed and the chairman of the board is elected among independent directors Three independent directors of Samsung Securities fulfill the following independence requirements.

2. 2. The director must not accept or have a “Family Member who accepts any payments from the company or any parent or subsidiary of the company in excess of $60,000 during the current fiscal year or any of the past three fiscal years”, other than those permitted by SEC Rule 4200 Definitions.
